背景及建议：兼并收购 Mergers and Acquisitions 章节的课后题 10-12 题，对应的 LOS 是 2019 年的，2022 年考纲做过调整
但是教材还保留着这三道题，有时间可以简单看一下；公司治理的内容，还是以 ESG 章节的内容为主

现在教材的表述是，前 executive 只要没有雇佣、在公司取得薪酬或持股，就可以认为是独立董事
但是原来的教材对 strong governance 的要求是 “董事会成员至少四分之三是独立的”，现在被删掉了。如果按照之前的比例，这个选项是不选的

这道题原版书课后题中仍有保留，协会发布的勘误也没有删除，所以我们还保留在题库中。我个人建议不用纠结这道题，毕竟涉及的内容，参考的是 2019 年的教材内容
