背景是:在每一个案例中,管理层都主张进行一笔大额收购,而管理层的报酬主要是由股票期权构成

考点就是代理成本 agency costs,是指股东和管理层之间产生利益冲突的成本,请见基础班讲义 P139

选项 A 说:管理层认为,收购将有益于股东,但是有损于债权人。这个反映的并不是代理成本,而是股东和债权人之间的利益冲突,debt–equity conflict
