因为资本重组的时候,企业主卖出去一部分股权,(typically 60% to 80%) ,对于卖出的这部分是要交capital gain tax,答案也说了:the owner is taxed currently on the cash received,而对于他保留的一部分股权(typically 20% to 40%),是有一个deferal tax: receives a tax deferral on the stock rolled over into the new entity.
