Cadbury Code里说role of chair and CEO shouldn't be combined。这个好像和single tier board里提到的role of chairman and CEO combined是相反的意思。这两个说法矛盾吗？

cadbury code出现时，公司已经存在上百年了，准则建议这两个角色不要combined，但实际上还是有很多公司没有调整过来，所以并不矛盾，依然存在很多single tier董事会的有这种情况，但并非所有single tier都是CEO和董事会主席为同一人

历史上公司这种组织形式先出现，一些公司的董事长和CEO可能是同一个人，等到92年时，cadbury code出现，建议这两个角色不要是combined。


Cadbury rules were submitted as Code of Best Practices' in 1992, it represents the UK Corporate Governance code popularly called the Code. 不是1992年才颁布的吗？

之前的回复并没有否定cadbury code是92年颁布。
