好的，那李老师讲课时候说两者实际上应该是相等的，是在什么背景下呢？

我理解老师这里的意思是说

最优资本结构是理性决策的结果，因为此时 WACC 最小，公司价值最大，对公司最有利

但目标资本结构是实际融资时的结果，会受很多因素影响，有时候并不一定能完全按照最优资本结构去融资

一个是梦想，一个是现实。梦想很美好，现实很骨感

类似的例子，比如复习 CFA 考试

最优的情况，是每天都能保证高效复习三小时

但是实际复习的时候，可能会有很多其他情况影响复习时间

比如加班、出差、应酬、生病等等情况，都会挤占复习时间、影响备考效率

B 选项错的原因，并不是最优资本结构和目标资本结构，哪个往哪个去靠

而是错在 "generally close" 哈

选项 B 说：最优资本结构通常接近于目标资本结构。这个说法不准确

最优资本结构是「理论」值，目标资本结构是「实际」值，虽然说实际应该往目标去靠，但有时候二者并不相同
