B选项，机构投资者在法国的权力相比美国受到更大限制。这是因为2014年的Florange法案。Florange法案是法国在2014年3月通过的一项法案，其正式名称为《确保就业与社会责任的企业法》。该法案加强了工会在企业决策中的发言权，限制了机构投资者的投票权,要求公司董事会成员中包括工会代表。

因为机构投资者一般会广泛的分散投资众多公司，而不会对某一公司大量持股到控股阶段。所以机构投资者对于所投公司来说，多是小股东的角色。
