同学你好，

这个是美国的一个特殊之处，就是它可以在年度股东大会之前，就这些提议私下解决协商，然后申请这些提案不在大会议程中出现。删除可以避免一些舆论影响吧。

“在美国提出股东决议可以通过私下参与的方式解决，这可能会达到一个令人满意的结果，足以让投资者撤回决议。”


而在其它许多司法管辖区，针对这种股东提案，公司必须公开决议。不能提前协商删除。
